Terms of Service
The agreement between Kairon and the companies that use it: what you may do, what you pay, and who is responsible for what.
1. About these terms
These terms are an agreement between you and Kairon, a company registered in the State of Delaware, USA (“Kairon”, “we”, “us”). They apply to the Kairon app, its website, its Chrome extension, and every way to reach it from a program: the MCP server, the command-line tool, API keys and webhooks (together, the “Service”).
By creating an account or using the Service, including through an AI assistant connected to your account, you accept these terms. If you accept them for a company, you confirm that you may bind it, and “you” means that company.
- Kairon is for professional use only. It is not for consumers, and not for anyone under 18.
- Our Privacy Policy explains how we handle personal data.
- If you and Kairon sign a separate written agreement, for example for a Custom plan, that agreement wins where it differs from these terms.
2. Your account
- Give us accurate information, and keep your password, API keys and other credentials secret.
- You are responsible for everything done under your account: by you, by the people you invite to your workspace, and by any program or AI assistant you connect to it.
- Our staff can act in your workspace to support you, to keep the Service secure, or when the law requires it. What they do there is recorded, and it is our responsibility, not yours.
- Tell us at once at admin@heykairon.com if you think someone used your account without permission.
- Accounts are created by people, not by bots or scripts. We decide who gets an account, and access may start from a waitlist.
3. Plans, trial and payment
Our plans and prices are on our pricing page. A Custom or Free plan exists only by written agreement with us, on the terms we agree.
- Trial. A new Starter workspace begins with a 7-day trial. We ask for a card to start it. If you cancel before the trial ends, the plan costs you nothing. Paid extras you add during the trial, such as another connected account or managed email, are charged when you add them. If you do not cancel, the plan continues as a paid plan when the trial ends.
- Billing. Paid plans are billed in advance, every month, and renew on their own until you cancel. Payments go through our billing provider. Prices do not include taxes, which we add where the law requires.
- Usage balance. A plan can include a monthly balance for what Kairon spends on your behalf, such as AI models, web searches and data lookups. Unused balance does not carry over to the next month. When the balance runs out, work that needs it pauses until the balance renews or you add more. Anything you buy beyond the included balance is charged at the prices on our pricing page or shown to you before you buy.
- Extra accounts and add-ons. Each extra connected account, and each add-on such as managed email, is charged every month at the price on our pricing page or shown to you before you buy. In its first month, an extra account costs only the days left after you connect it.
- Failed payments. If a payment fails, you have 7 days to fix it. After that we lock the account until it is paid.
- Price changes. We tell you by email at least 30 days before a new price applies to you. It applies from your next billing period.
- Refunds. Fees are not refundable, including for a partial month or a month you did not use, except where the law requires a refund. If we charge you twice or charge you in error, we refund it.
4. Cancelling
You can cancel at any time from Billing in the app’s settings, or by writing to admin@heykairon.com. If you cancel during the trial, the trial ends at once and the plan is not charged. If you cancel a paid plan, you keep access until the end of the period you already paid for, and you are not charged again.
5. How you may use Kairon
You may not use the Service to:
- Break the law, including data protection, anti-spam and marketing law where the people you contact are.
- Send spam, harass or deceive anyone, or pretend to be someone you are not.
- Collect or send special categories of personal data, such as health, religion or political opinions, or data about children.
- Resell the Service, or give access to people outside your organization, unless we agree to it in writing.
- Resell or publish the data the Service returns about people and companies, or use it to build a database or a product that competes with Kairon.
- Get around the limits we set, test our security without our written permission, or copy, take apart or reverse engineer the Service.
- Disrupt the Service or put a load on it far beyond normal use. We may slow down or limit calls that do.
6. LinkedIn, email providers and other platforms
Kairon works with platforms run by other companies, such as LinkedIn and email providers. Kairon is not affiliated with, endorsed by, or sponsored by LinkedIn or any of them.
- When you connect an account of yours to Kairon, you authorize Kairon to take on it the actions you ask for or set up. For example: reading, visiting profiles, inviting, messaging, replying, reacting, commenting, following, removing connections and editing your own profile.
- You remain bound by the terms of every platform you connect, and you are responsible for using your accounts in line with them.
- We set daily limits on connected accounts and space out their actions, to keep activity at a human pace, and we may change these limits. A campaign sends only in the hours you set for it. This lowers the risk to your accounts. It does not remove it.
- A platform can restrict, suspend or close your account, or change in a way that stops part of the Service from working. We are not responsible for what a platform does to your account, and we may change or stop an integration when a platform changes.
7. Messages Kairon sends for you
By default a campaign sends on its own. Most campaign sends are scheduled at least an hour ahead, so you can review or cancel them. An automatic answer to a reply can go out a minute after it is written. You can also set a campaign to wait for your approval of every message. A message you or a connected assistant send directly goes out at once. Every message the Service sends is sent on your instructions and in your name.
You are responsible for who you contact, for what is said to them, and for having a lawful basis to contact them and to process their data. When someone asks you to stop, stop.
8. AI and the data Kairon returns
- Kairon uses AI models to draft messages, qualify people and companies, and classify replies. AI output can be wrong, incomplete or out of date. Review it before you rely on it.
- Data about people and companies comes from public and third-party sources, and can be incomplete or out of date. We do not guarantee that it is accurate.
- We do not guarantee results. No plan promises a number of replies, meetings or sales.
9. AI assistants and programs you connect
You can use Kairon from an AI assistant, such as Claude or ChatGPT, through our MCP server, and from your own programs through the command-line tool, API keys and webhooks.
- What an assistant or a program does in Kairon with your authorization counts as done by you, under these terms.
- The assistant’s own provider sets the terms for the assistant. We are not responsible for what it decides to do, so review what it proposes before you approve it.
- Keep keys and tokens secret. You can revoke an API key at any time. To disconnect an assistant, remove Kairon from the assistant’s settings, or write to us and we revoke its access.
10. Your data
- Your content stays yours: what you write and upload, and the lists, campaigns and conversations you create in Kairon. You give us permission to host, process and copy it to run the Service for you and to keep it secure.
- Public information about people and companies that the Service reads, such as a profile or a company page, is not your content.
- For the people you contact, you are the controller and we are your processor. Our Privacy Policy describes both roles, the providers that process data for us, and how long we keep it. If you need a data processing agreement, write to us and we will put one in place.
- Do not upload data you have no right to use, and keep your own copies of what matters to you.
11. Our property
Kairon, its software, its name and its brand belong to us. While these terms apply and your account is in good standing, we give you a limited, non-exclusive, non-transferable right to use the Service for your own business. If you send us ideas or feedback, we may use them freely, without owing you anything.
12. Suspension and closing
- We may suspend or close your access, at once if needed, if you break these terms, do not pay, put other people, a platform or the Service at risk, or if the law requires it. When we can, we tell you first and give you time to fix the problem.
- We may end a Free plan by telling you in advance.
- When an account closes, access stops, amounts already due stay due, and we delete your data on the schedule in our Privacy Policy.
13. No warranties
We work to keep the Service available, secure and correct, but we provide it “as is” and “as available”. As far as the law allows, we give no warranties beyond those stated in these terms, including that the Service will be uninterrupted or free of errors.
14. Limits on our liability
As far as the law allows:
- We are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data or business interruption.
- Our total liability for all claims under these terms is limited to the greater of what you paid us in the 12 months before the event that caused the claim, and 100 US dollars.
- These limits do not apply to fraud, wilful misconduct, or anything else the law does not let us limit.
15. Claims about your use
If someone makes a claim against Kairon because of what you sent or uploaded, or because you broke the law, these terms or a platform’s terms, you will cover the cost of that claim, including reasonable legal fees.
16. Confidentiality
Each of us keeps the other’s non-public information confidential and uses it only for this agreement. This does not cover information that is already public, or that the law requires one of us to disclose.
17. Changes to Kairon
Kairon changes often. We may add, change or remove features. If we remove something your paid plan depends on, we tell you in advance.
18. Changes to these terms
We update the date at the top whenever these terms change. For a change that meaningfully affects your rights, we tell customers by email at least 30 days before it takes effect. If you keep using the Service after that, the new terms apply. If you do not accept them, you can cancel before they take effect.
19. Law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its rules on conflicts of law. Before going to court, write to us and we will try to solve the problem with you. Any dispute that remains goes only to the state or federal courts located in Delaware, and each of us agrees to their jurisdiction.
20. General
- You may not transfer these terms without our written consent. We may transfer them in a merger, an acquisition or a sale of the business.
- Neither of us is responsible for a delay or failure caused by events outside our reasonable control.
- If a court finds part of these terms invalid, the rest still applies. Not enforcing a term is not giving it up.
- These terms and any written agreement we sign with you are the whole agreement between us about the Service.
